Welcome to Geotextile Membranes. The terms “we”, “us” and “our” refer to EcoGrid Ltd (trading as Geotextile Membranes). We operate this website and store, including all related information, content, features, tools, products and services (the “Services”). Our store is powered by Shopify.
These Terms of Service (the “Terms”), together with any policies referenced here, describe your rights and responsibilities when you use the Services.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms and our Privacy Policy [LINK]. If you do not agree, you should not use or access the Services.
Section 1 - Access and Account
By agreeing to these Terms, you represent that you are at least the age of majority in your country of residence, and that you consent to any minor dependents using the Services on devices you own or manage.
To use the Services, you may be asked to provide information such as your email address, billing, payment and shipping details. You warrant that all information you provide is accurate, current and complete, and that you have the right to provide it.
You are responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign or license your account to any other person.
Section 2 - Our Products
We work to represent our products accurately. However, colours and appearance may vary by device and settings, and minor specification changes may occur due to product development.
We do not warrant that the appearance or quality of products will meet your expectations or exactly match on-screen depiction.
Product descriptions may change without notice. We may discontinue products and limit quantities to any person, region or jurisdiction.
Section 3 - Orders
When you place an order, you make an offer to purchase. We may accept or decline your order at our discretion. An order is accepted when we confirm acceptance and process your payment.
Please review your order carefully before submitting. We may be unable to accommodate cancellation requests after acceptance or dispatch. If we do not accept, make a change to, or cancel an order, we will attempt to notify you via the contact details provided at checkout.
Your purchases are subject to our Returns & Refunds Policy [LINK].
We supply both consumer and business customers. If you purchase as a business, you confirm you have authority to bind that business.
Section 4 - Prices and Billing
Prices, discounts and promotions may change without notice. The price charged is the price in effect at checkout and shown on your order confirmation. Unless stated otherwise, prices exclude taxes, shipping, handling, customs and import charges.
Prices online may differ from other channels. Promotions may have separate terms, if they conflict with these Terms, the promotion terms govern.
You agree to provide current, complete and accurate purchase, payment and account information, and to update it as needed so we can complete your transactions and contact you.
You warrant that (i) payment information you provide is true and you are authorised to use it, (ii) charges will be honoured by your provider, and (iii) you will pay all charges including taxes, shipping and handling where applicable.
Section 5 - Shipping and Delivery
Delivery times are estimates and not guaranteed. We are not responsible for delays caused by carriers, customs, weather or events outside our control.
Dispatch cut-offs (Mon-Fri): pallets 11:00, parcels 14:00 where stock allows. Services include Standard (1 to 3 working days) and Next Working Day (aim only).
Pallet deliveries may use vehicles from 7.5t to articulated. Tell us about access restrictions in advance, small-vehicle surcharges may apply. Tail-lift or pump-truck offload is to the nearest safe, flat point (often kerbside).
Risk & title: Risk passes on delivery or collection. Title remains with EcoGrid Ltd until we receive payment in full, cleared funds, for this and any other outstanding invoices.
Re-delivery may be chargeable where delivery was attempted but unsuccessful.
Section 6 - Intellectual Property
All content on the Services (including trademarks, text, images, graphics, video, audio, and their arrangement) is owned by Geotextile Membranes, our affiliates or licensors and protected by applicable intellectual property laws.
You may use the Services for personal, non-commercial purposes only. You must not reproduce, distribute, modify, create derivative works of, publicly display or perform, republish, download, store or transmit any material without our prior written consent, except for normal browsing and ordering.
Geotextile Membranes’ names, logos, product and service names, designs and slogans are trademarks of EcoGrid Ltd or our licensors. Shopify’s names and marks are trademarks of Shopify. Other names and marks belong to their respective owners.
Section 7 - Optional Tools
We may provide access to third-party tools which we do not monitor or control. Such tools are provided “as is” and “as available,” without warranties or endorsements. We have no liability arising from your use of optional third-party tools.
Use of any optional tools is at your sole risk and discretion, and you should be satisfied with the terms provided by the relevant third party. New features released in the Services will also be subject to these Terms.
Section 8 - Third-party Links
The Services may contain materials and links to third-party websites or embedded functionality. We are not responsible for examining or evaluating third-party content or accuracy. If you access third-party sites, you do so at your own risk.
We are not liable for harm or damages related to your use of third-party websites, products, services, resources or content. Review third-party policies and ensure you understand them before transacting.
Section 9 - Relationships with Shopify
Geotextile Membranes is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Geotextile Membranes (EcoGrid Ltd). By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and Geotextile Membranes, including any injury, damage, or loss resulting from purchased products and services. You expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Geotextile Membranes.
Section 10 - Privacy Policy
Personal information we collect is subject to our Privacy Policy [LINK], and certain data may be subject to Shopify’s Privacy Policy. By using the Services, you acknowledge you have read these policies.
Because the Services are hosted by Shopify, information you submit will be transmitted to and shared with Shopify and selected partners, which may be located outside your country, to provide and improve the Services. See our Privacy Policy [LINK] for details.
Section 11 - Feedback
If you submit ideas, suggestions, reviews or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free licence to use, reproduce, modify, publish, distribute and display such Feedback in any medium for any purpose.
You warrant that you own or have rights to provide the Feedback, that you have disclosed any incentive or compensation, and that your Feedback complies with these Terms. We may monitor, edit or remove Feedback we consider unlawful, offensive or infringing. You are solely responsible for any Feedback you submit.

From time to time there may be information on the Services that contains typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times or availability. We reserve the right to correct, change or update information or cancel orders if any information is inaccurate at any time without notice, including after you submit your order.

You may use the Services for lawful purposes only. You may not use the Services to: (a) break any law or regulation, (b) infringe any IP or privacy rights, (c) harass, defame, threaten or harm others, (d) transmit false or misleading information, (e) upload or re-use material that breaches these Terms, (f) send spam or unsolicited promotions, (g) impersonate others, or (h) engage in conduct that restricts or inhibits anyone’s use or enjoyment of the Services or exposes us, Shopify or users to liability.
You must not upload malware, exploit the Services, scrape, or circumvent security. We may suspend, disable or terminate your account at any time, without notice, for violations.

We may terminate this agreement or your access to the Services, in whole or part, at any time and at our discretion, without notice. You remain liable for all amounts due up to and including the date of termination.
Sections that by nature should survive termination will continue to apply, including Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law and Privacy Policy.

Information on or through the Services is provided for general information only, reliance is at your own risk.
EXCEPT AS EXPRESSLY STATED BY GEOTEXTILE MEMBRANES, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS, YOUR RIGHTS MAY VARY.
Section 16 - Limitiation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL GEOTEXTILE MEMBRANES (ECOGRID LTD), OUR DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, SAVINGS, DATA OR BUSINESS, ARISING FROM YOUR USE OF THE SERVICES OR PRODUCTS PURCHASED, EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY TO YOU FOR ANY LOSS OR DAMAGE ARISING IN CONNECTION WITH THE SERVICES OR PRODUCTS SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM. NOTHING IN THESE TERMS LIMITS LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY LAW.
Section 17 - Indemnification
You agree to indemnify, defend and hold harmless Geotextile Membranes (EcoGrid Ltd), Shopify, and our affiliates, officers, directors, employees, agents, contractors, licensors and service providers from any third-party claims, liabilities, damages and costs, including reasonable legal fees, arising out of (1) your breach of these Terms or referenced documents, (2) your violation of any law or third-party rights, or (3) your use of the Services. We may control the defence and settlement of such claims, you will cooperate as reasonably requested.
Section 18 - Severability
If any provision of these Terms is found unlawful, void or unenforceable, that provision shall be enforceable to the maximum extent permitted, and the remainder will continue in full force and effect.
Section 19 - Waiver; Entire Agreement
A failure to exercise or enforce any right or provision is not a waiver of that right or provision.
These Terms, together with policies posted on the site, constitute the entire agreement between you and us regarding the Services and supersede any prior agreements or communications.
Section 20 - Assignment
You may not assign, transfer or delegate these Terms or your rights or obligations without our prior written consent. We may transfer, assign or delegate these Terms and our rights or obligations without notice.
Section 21 - Governing Law
These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws of England and Wales. You and we submit to the exclusive jurisdiction of the courts of England and Wales.
